3. Client Responsibilities

As a client of HowdyTech LLC, you agree to:

Provide accurate, complete, and timely project requirements and feedback
Supply all necessary content including text, images, and branding materials as agreed
Respond to communications within a reasonable time to avoid project delays
Review and approve deliverables within the agreed review period
Ensure you own, or have the legal right to use, all content provided to us
Keep login credentials and access information confidential

4. Payment Terms

All pricing is outlined in a written quote or proposal prior to project commencement.
A deposit (typically 50%) is required before work begins on any new project.
The remaining balance is due upon project completion or as specified in the service agreement.
Invoices are due within seven (7) days of issuance unless otherwise agreed in writing.
Late payments may result in project suspension, delayed delivery, or additional fees.
Monthly maintenance plans are billed in advance on a recurring basis.

5. Intellectual Property

Client Content: You retain full ownership of all content, branding, logos, and materials you provide to us.
Final Deliverables: Upon receipt of full payment, HowdyTech LLC transfers all rights to the completed website design and code to the client. If you cancel before full payment, HowdyTech LLC retains ownership of all work produced.
Portfolio Rights: We reserve the right to display completed work in our portfolio and marketing materials unless you request confidentiality in writing prior to project start.
Third-Party Assets: Plugins, templates, stock images, and other third-party components used in your project are subject to their respective licenses and terms.

6. Project Revisions

Each project includes a specified number of revision rounds as outlined in the project proposal. Revisions beyond the agreed scope may be charged at our standard hourly rate. Requests for major scope changes may require a revised proposal and updated pricing before proceeding.

7. Timelines & Delays

HowdyTech LLC provides estimated project timelines based on good-faith assessment of the scope. Delays resulting from late client feedback, missing content, scope changes, or factors outside our control are not the responsibility of HowdyTech LLC. We commit to communicating proactively about any delays on our end.

8. Limitation of Liability

To the maximum extent permitted by applicable law, HowdyTech LLC shall not be liable for:

Loss of revenue, profits, data, or business resulting from website downtime or technical errors
Failures caused by third-party services including hosting providers, domain registrars, or plugins
Any indirect, incidental, special, or consequential damages arising from use of our services

Our total liability in any matter shall not exceed the total amount paid by the client for the specific service in question.

9. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or business-critical information shared during the course of the project. This obligation continues after the termination of any service agreement.

10. Termination

Either party may terminate a service agreement with written notice. In the event of termination:

The client is responsible for payment of all work completed up to the termination date
Non-refundable deposits are forfeited regardless of the reason for cancellation
HowdyTech LLC will deliver all completed work to the client upon receipt of all outstanding payments
HowdyTech LLC reserves the right to terminate services immediately in the event of non-payment or breach of these Terms

11. Warranties & Disclaimers

HowdyTech LLC warrants that services will be performed in a professional and workmanlike manner. We do not guarantee specific outcomes such as search engine rankings, conversion rates, or revenue growth. All services are provided on an “as-is” basis beyond the agreed deliverables.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Austin, Texas.

13. Modifications

HowdyTech LLC reserves the right to update these Terms and Conditions at any time. Updated terms will be published on our website. Continued engagement with our services following any such update constitutes acceptance of the revised terms.
